The complete federal record of private placements: every offering filed with the SEC since 2019, the entities behind each one traced to the actual sponsor, raise pace (how fast reported sales grow between filings, versus category peers), the compensated selling network on every deal, and the adviser and broker-dealer registries joined on top.

What it is not: a platform, a marketplace, or a shelf. Nothing is for sale on the record. No transaction happens here. No issuer can pay to look better, be featured, or be left out, and none has ever been asked to.

The record reports what was filed. It does not rate, recommend, or advise.

Who is paid to sell Griffin Capital’s offerings, and how has its raising actually gone?

The name covers 19 related filing entities across 285 Form D filings. On those filings 139 broker-dealer firms are disclosed as compensated sellers across 4,943 disclosures, several under multiple name variants; the most frequent is Emerson Equity LLC, named on 201. Its Union (Kansas City, MO) DST reported $51.4M sold of a $59.9M offering on its latest amendment.

Investment advisers

The deal your client found is not on your platform.

Clients bring deals from dinners, family, and other people’s wholesalers. Declining without a reason costs the relationship; accepting without a record costs more. The full sponsor history, how fast its offerings have actually sold, who is paid to sell it, and the manager’s regulatory file, in the two minutes before you call back. The market you were never shown is in the same place, screened on your terms.

Diligence desks

The rule says reasonable investigation. The file says one PDF from 2023.

Continuous monitoring across the approved shelf: new entities appearing inside sponsor records, amendments that show a raise stalling, selling networks that quietly change. An audit trail of who checked what, when. The re-review that runs while the desk is closed.

Family offices

Everything pitched to you was filtered by someone’s incentives first.

In the last twelve months, 9,957 direct offerings carried adviser-scale minimums with outside investors already in. Scout all of them in private: no sponsor, marketer, or network learns who is reading them.

Sponsors

The fee-only channel is where the money went, and your wholesalers cannot enter it.

Fee-only advisers do not touch commissioned product, and the record is where the rest of the market becomes visible to them. How fast your offerings sell, against named peers, is already on it. Nothing here can be bought, which is what makes it quotable.

06Methodology

The subject. A private placement is an investment offering sold privately rather than on a public exchange; federal law requires each one to be filed with the SEC.

Counted. Every Regulation D offering filed since January 2019, including amendments, as published on EDGAR. A sponsor record here links two or more related filing entities under evidence-cited rules; the 20,197 sponsor records cover 48% of all offerings on the record, and 128,590 issuers file as single entities. Selling compensation is as disclosed on each filing.

Excluded. Regulation A, crowdfunding, and public offerings.

Refreshed. Each business day from the EDGAR daily index. Sold totals are issuer-reported and change only when an amendment is filed.

The 96% figure. Among offerings first filed in the trailing twelve months, total reported sales on each offering’s latest filing are attributed to offerings disclosing compensated sellers versus those disclosing none; 96% of those dollars sit with offerings disclosing none. “No compensated sellers” means none disclosed on the filing; arrangements not disclosed to the SEC are outside any record, including this one.

Record Velocity (methodology v1). A named measurement, published openly so it can be checked: for each offering with at least two filings reporting amounts, the growth in reported sales between consecutive filings, expressed as a percentile among offerings in the same category. It measures speed, not merit; the Record does not rate.
